A usufructuary dismemberment is not an abus de droit, in France

The French tax adminstration have confimed that retaining a usufruit by making a gift of the nue-propriété is not an abus de droit under the new rules introduced by article 109  of the loi de finances pour 2019.

Fortunately, for the French taxpayer at least,  the French administration is held to account before its Parliament through its Minister. I would draw the United Kingdom reader's attention to the fact that HMRC is not subject to any similar Parliamentary discipline or accountability. It is not even attached to the Minister for the Treasury.

It is a sign of the increased lack of trust in the administration that certain tax and legal professionals working with these concepts in France had believed that there was a risk  that the existing article 1133 du CGI  was uprooted by a regulatory article.

Article 1133 CGI read and still reads: « La réunion de l'usufruit à la nue-propriété ne donne ouverture à aucun impôt ou taxe lorsque cette réunion a lieu par l'expiration du temps fixé pour l'usufruit ou par le décès de l'usufruitier ».

This article is all embracing, as it is possible for the usufruit and the nue-propriété to be acquired by the same person as separate rights, for exaple, by purchase and not simply by the extinction of the usufruit viager on death. Where here is such an extinction, there is not "transfert" or "réunion" in any event under the Code civil.

The ministerial communiqué, which has the force of law as to the interpetation of the new article L 64 A du Livre des procédures fiscales reads as follows:

Communiqué de presse sur l'abus de droit fiscal

En prenant l'initiative d'instituer l'article L 64 A du Livre des procédures fiscales dans le cadre de la dernière loi de finances, le législateur a souhaité donner à l'administration un nouvel outil de lutte contre la fraude permettant à cette dernière de remettre en cause une opération qui aurait pour objectif principal d'éluder ou d'atténuer les charges fiscales de l'intéressé.

Ce nouveau texte est applicable aux actes passés à compter du 1 er janvier 2020. Le législateur a prévu ce report de l'entrée en vigueur pour permettre à l'administration d'en préciser les modalités d'application, en concertation avec les professionnels du droit concernés, afin de garantir la sécurité juridique des contribuables.

En ce qui concerne la crainte exprimée d'une remise en cause des démembrements de propriété, la nouvelle définition de l'abus de droit ne remet pas en cause les transmissions anticipées de patrimoine, notamment celles pour lesquelles le donateur se réserve l'usufruit du bien transmis, sous réserve bien entendu que les transmissions concernées ne soient pas fictives.

En effet, la loi fiscale elle-même encourage les transmissions anticipées de patrimoine entre générations parce qu'elles permettent de bien préparer les successions, notamment d'entreprises, et qu'elles sont un moyen de faciliter la solidarité intergénérationnelle.

L'inquiétude exprimée n'a donc pas lieu d'être."

It would seem that to the extent that the law encourages such transations,  the administration will not deny its application to the extent that the transaction itself is not a fiction.  That is the advantage of creating a dismemberment by an acte notarial en forme authentique  or even en forme exécutoire.
